Professional Holdings Limited successfully conducted its 20th Annual General Meeting in Kathmandu with the participation of more than 82% of shareholders.
The meeting approved the company’s annual financial statements for fiscal year 2081/82, along with the auditor’s report and the board of directors’ report.
Shareholders also endorsed the appointment of NBSM and Associates as the external auditor for fiscal year 2082/83. In addition, the AGM approved the distribution of 50% bonus shares and a 2.63% cash dividend for tax purposes.
The meeting further approved an increase in the company’s paid-up capital and amendments to its memorandum of association.
One of the major decisions taken during the AGM was the approval to move forward with issuing shares to the general public through an Initial Public Offering (IPO). The board of directors has been granted full authority to complete all legal, regulatory, and administrative procedures related to the IPO process.
The AGM also endorsed CSR-related expenditures and several other general proposals presented during the meeting.
Meanwhile, subsidiary company Uniglobe Higher Secondary School announced a 5% bonus share distribution along with a 0.26% cash dividend.
The company additionally expressed appreciation toward Nepal Life Insurance Company Limited for its continued leadership, governance support, and institutional guidance.
