Ryan Cohen, CEO of GameStop and founder of Chewy, says he is not backing away from his attempt to acquire eBay despite the company's board rejecting GameStop's offer as "neither credible nor attractive."
Speaking in an interview with Barron's, Cohen suggested that if eBay's board continues to oppose the deal, the matter could ultimately be decided by shareholders. GameStop currently owns approximately 7.8% of eBay and has continued building its position in the company.
Cohen argued that eBay is a strong business with significant untapped potential but believes it has been poorly managed. He said GameStop's success in collectibles and refurbished technology closely overlaps with eBay's strongest categories, creating what he sees as substantial strategic synergies.
GameStop recently reported its most profitable quarter on record after years of cost-cutting, store optimization, and expansion into higher-margin businesses such as trading cards and collectibles. Cohen believes a similar approach could unlock value at eBay.
According to Cohen, his plan would focus on aggressive cost reductions and balance-sheet improvement. He reiterated his belief that approximately $2 billion in costs could be removed from eBay's operations while strengthening the business.
Cohen also emphasized his background in e-commerce, noting that operating Chewy gave him experience directly relevant to eBay's marketplace model. He contrasted this with GameStop's traditional brick-and-mortar retail business, which he described as a learning experience.
The proposed transaction reportedly offered eBay shareholders a significant premium, with a combination of cash and equity in GameStop. Cohen argued that shareholders would benefit from both immediate value and participation in future growth under his leadership.
Despite eBay's rejection, Cohen remains confident that shareholders will eventually have a say in the company's future.
"The board and management team cannot run and hide forever," Cohen said, signaling that his campaign for eBay may be far from over.
The situation sets up a potentially significant corporate battle between GameStop and eBay, with investors closely watching whether Cohen pursues a more direct approach to winning shareholder support.
