Bouygues Telecom, Orange, and Iliad have signed a memorandum of understanding with Altice France to acquire telecom operator SFR in a transaction valued at €20.35 billion, including debt.
The agreement follows months of negotiations and comes after the consortium increased its offer from approximately €17 billion earlier this year.
Major Telecom Consolidation Deal
If approved by regulators, the transaction would be one of the largest telecom acquisitions in Europe in recent years.
The deal would result in the breakup of SFR's assets among the three buyers and reduce the number of major mobile network operators in France from four to three.
Allocation of the Purchase Price
Under the agreed terms:
- Bouygues Telecom will acquire approximately 42% of the assets.
- Iliad (Free) will receive approximately 31%.
- Orange will receive approximately 27%.
The memorandum also includes break-up fee provisions ranging from €100 million to €2 billion, depending on the circumstances surrounding any failure to complete the transaction.
Regulatory Approval Remains Key Hurdle
The acquisition is expected to face intense scrutiny from competition authorities because it would significantly reshape the French telecom market.
Reducing the number of nationwide mobile operators from four to three has long been viewed as a sensitive competition issue within Europe.
Earlier this year, Christel Heydemann indicated that discussions with regulators had already begun and suggested that behavioral remedies could be offered to secure approval.

Supporters of consolidation argue that fewer operators could improve profitability and encourage greater investment in network infrastructure and next-generation technologies.
Critics, however, may argue that reduced competition could lead to higher prices and fewer choices for consumers.
