Sagarmatha Hydropower Company Limited (SMJC) has called its 5th Annual General Meeting (AGM) to approve the issuance of 100% rights shares. The AGM is scheduled to be held on Friday, Mangsir 26, at Smart Darbar, Shankhamul Park, Kathmandu, starting from 11:00 AM.
During the meeting, the company will table a special proposal to issue rights shares at a 1:1 ratio, meaning shareholders will be eligible to apply for one right share for every share they currently hold, based on the existing paid-up capital of NPR 1.1732 billion.
In addition to the rights issuance proposal, the AGM will also discuss and pass agendas such as granting authority to the Board of Directors to amend the company’s Articles of Association and Bylaws, appointment of an auditor, approval of reports related to institutional guarantee and corporate governance, among other proposals.
For AGM participation, the company has announced Mangsir 14 as the book closure date. Shareholders who are listed in NEPSE on or before Mangsir 11 will be eligible to attend the AGM and participate in decision-making.
