Tata Motors Demerger Nears Completion: Commercial and Passenger Vehicle Units Now Independent

Tata Motors’ corporate restructuring has entered its final phase with a key development: the company’s commercial vehicles arm has been officially renamed Tata Motors Ltd (TMLCV).

This follows an earlier step in the demerger, when the former Tata Motors Ltd was renamed Tata Motors Passenger Vehicles Ltd (TMPV) on October 13, 2025. The move splits the company’s passenger vehicle and commercial vehicle operations into two independent entities.


Demerger Timeline

  • Effective Date: October 1, 2025
  • Record Date: October 14, 2025

Shareholders registered on the record date received one share of TMLCV for every one share held in Tata Motors Ltd, resulting in parallel holdings in both TMPV and TMLCV.


Business Focus Post-Demerger

  • Tata Motors Passenger Vehicles Ltd (TMPV): Handles the passenger vehicle and electric mobility businesses, including the EV portfolio under the Tata.ev brand.
  • Tata Motors Ltd (TMLCV): Focuses exclusively on commercial vehicles, including trucks, buses, and fleet mobility solutions.

TMLCV will now be benchmarked against pure-play commercial vehicle competitors, such as Ashok Leyland, while maintaining its domestic leadership with a 37% market share and international exposure via the Iveco Group stake.


Share Price and Valuation Impact

On October 14, TMPV shares were discovered at ₹400 per share, compared with the pre-demerger close of ₹660.75. This implies a valuation of around ₹260.75 per share for TMLCV (Commercial Vehicle entity).

Analyst valuations include:

  • Nomura: TMPV at ₹367/share; TMLCV at ₹365/share
  • Mehta Equities Ltd.: Standalone TMLCV at approximately ₹400/share

The demerger marks a significant step in Tata Motors’ strategy, enabling focused growth in both commercial and passenger vehicle segments while providing investors with clarity and independent valuation metrics for each business line.
